Terms & Conditions for Attract Digital Limited

Please read these Terms and Conditions carefully, they underpin all web design and development work taken on by Attract Digital Limited. These terms and conditions may change at any time so you should review them regularly, all changes will be effective immediately and you will be deemed to have accepted any changes from the moment they are made.

1. Acceptance

By engaging us to start work implies that you have read and accepted these terms and conditions.

2. Fee’s

Where you require a custom quotation the quote will remain valid for a period of 30 days. Attract Digital Limited reserves the right to alter or decline a quotation after the 30 day validity period. The first payment is due as a deposit, work will begin once this payment has been received. Where payment is to be made via direct debit the mandate must be signed once a design has been agreed. The first payment via direct debit will be taken 30 days after the date at which the design is agreed and on the same date each month thereafter. The Client agrees to reimburse Attract Digital Limited for any additional expenses made at their request including the purchase of stock photography, fonts, plug-ins and other comparable expenses.
For all work where a one-off payment has been agreed a 50% deposit is required before work begins.

3. Project Review

Attract Digital Limited will provide the Client with an opportunity to review the appearance and content of the website during the design phase and periodically until Go Live.

4. Project Scope and Delays

Attract Digital Limited will agree with the Client what content is required for the initial go live of the website. Attract Digital Limited will agree a completion date with the Client on receiving the initial payment following the first review. The Client will appoint a single point of contact to agree design, specification and content. The contact must be available on a daily basis to cooperate and provide feedback. Where agreed the Client will provide website content including but not limited to text and images. Attract Digital Limited take on a limited number of projects at any time, it is therefore crucial that the Client is responsive. If you fail to provide us with content in a timely manner which leads to a delay of the agreed completion date we reserve the right to cancel your project and invoice you at a rate of £50 per hour for work already completed.

5. Supply of Website Content

The Client agrees to provide all content required for Go Live within 7 days of the first review. Attract Digital Limited will not be liable for any delay caused by content being delivered past this date. Textual content must be delivered as a Microsoft Word document or on an E-mail. The supplied content must clearly state where on the website you wish for it to be displayed. Images should be delivered as high quality .jpg or .png files. Attract Digital Limited have the right to refuse to use images that are of poor quality.

6. Change of Scope

In the event that the Client requests changes to the agreed scope which in turn delays the Go Live date the Client agrees to arrange the direct debit payments to start 30 days after the originally agreed Go Live date.

7. Updates

For packages where content updates are included Attract Digital Limited will make content updates at no additional cost after go live during months where support payments have been received. Content updates include text, images and additional pages where the additional page design is the same as an existing page. Where the Client requests an update that requires a fundamental design change they agree to pay a rate of £50 per hour. Attract Digital Limited agree to advise the customer of this before proceeding.

8. Ownership and Licensing

Attract Digital Limited may use plug-ins or scripts in your website which require a licence to be purchased, all licences will be paid for by the Client either as part of the original agreement or at an additional cost. The ownership of the website, plug-ins and all content will be owned by the Client with the exception of pay-monthly packages where the website will remain in the ownership of Attract Digital Limited.

9. Search Engines

Attract Digital Limited will apply a number of best practices to your website as recommended by Google’s Search Engine Optimization guide, these best practices will help your site gain visibility within search engines however the Client accepts that Attract Digital Limited can not guarantee any specific position in the search results.

10. Payment

Recurring payments will be made via Direct Debit only via our secure payment partner GoCardless. In the event of a failed payment or cancellation of the direct debit your website will cease 30 days from the last successful payment. Invoices will be provided by Attract Digital Limited for the initial payment and any additional expenses.

11. Browser compatibility

Attract Digital Limited makes every effort to ensure websites are compatible with the most popular browsers including Firefox, Internet Explorer and Google Chrome. The Client agrees that on Go Live the website delivered met the requirements of being responsive and compatible. The Client agrees that Attract Digital Limited cannot guarantee full functionality with all browser software developers and versions across different operating systems. This applies to any devices such as smart phone, tablet and PC. Attract Digital Limited cannot accept responsibility for web pages which do not display acceptably in versions of browsers released after the website was approved by the Client. Attract Digital Limited reserves the right to quote for any work involved in amending the website design and/or code to improve it’s compatibility.

12. Termination

The Client may choose to terminate their relationship with Attract Digital Limited at any time, if full payment of the project has been received the Client are entitled to a full dump of their website and database and Attract Digital Limited will provide telephone support to assist in migrating their website to another host if applicable. There will be no refund, full or partial, for hosting services that are paid for annually.

Pay Monthly packages – The Client may terminate the services at any time and the website will be taken off-line 30 days from the last successful payment. This includes any E-mail service that the Client has been provided. In the event of termination occurring within one week of the next payment Attract Digital Limited agree to give the Client 7 days written notice to archive all E-mails before the mailbox is terminated. No additional time will be given for the website.

13. Copyright

The Client retains the copyright to the content they provide and grant Attract Digital Limited the rights to publish and use the material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Attract Digital Limited permission and rights for use of the same and agrees to indemnify and hold harmless Attract Digital Limited from any and all claims resulting from the Client’s negligence or failure to obtain proper copyright permissions. Attract Digital Limited may request to see evidence of permission having been granted.

14. Design Credit

A link to Attract Digital Limited will appear in small type at the bottom of the Client’s website. If a client requests that the design credit be removed, a fixed fee of £250 will be applied. The Client also agrees that the website developed for the Client may be presented in Attract Digital Limited’s portfolio.

15. Hosting

All websites are hosted in UK Data Centres offering 99.99% uptime. Websites are hosted on shared servers by default. Further technical information can be provided upon request.

16. Domain Names

Attract Digital Limited may purchase domain names on behalf of the Client. Attract Digital Limited will ensure the domains are set to automatically renew and will advise the Client of any renewal fee’s that are to be paid prior to the renewal date. If the client fails to pay for the renewal within 14 days of being informed the auto-renew will be cancelled and may result in the loss of ownership.

17. Backups

Attract Digital Limited will store a backup of your website content and files on an encrypted drive which will be stored in a security safe. Attract Digital Limited will also store a backup of your website content and files on secure Cloud Storage. The Client holds full responsibility for backing up their E-mails, in the event of E-mail loss Attract Digital Limited will not be held liable.

18. E-commerce

The Client is responsible for complying with all relevant laws relating to e-commerce and will hold harmless Attract Digital Limited from any and all claims resulting from the Client’s negligence or failure to comply with such laws.

19. Applicable Law

These terms and conditionals shall be governed by the laws of England.

20. Severability

If any of the provisions of these terms and conditions is found to be unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.
